VENDOR BOOTH TERMS OF SERVICE & PARTICIPATION AGREEMENT
Last Updated: October 10, 2026
WELCOME TO ANIME NIGHT MART!
Thank you for being part of Anime Night Mart! We are excited to bring together artists, creators, small businesses, and anime enthusiasts for an unforgettable community experience.
Our goal is to provide a safe, organized, welcoming, and enjoyable environment for participating vendors, attendees, and event staff.
These Vendor Booth Terms of Service & Participation Agreement ("Agreement" or "Terms") establish the policies, responsibilities, and conditions applicable to purchasing, reserving, and operating a vendor booth at an Anime Night Mart event.
This Agreement is between Anime Night Mart LLC ("Anime Night Mart," "Organizer," "we," "us," or "our") and the individual or business purchasing or operating a vendor booth ("Vendor" or "you").
These Terms apply to vendor booth purchases and participation at Anime Night Mart events held in California and Nevada, including reservations made through our Shopify-powered website.
PLEASE READ THESE TERMS CAREFULLY BEFORE PURCHASING A VENDOR BOOTH.
By affirmatively accepting this Agreement and completing a vendor booth purchase, you acknowledge that you have reviewed, understood, and agreed to these Terms, including our cancellation policy, merchandise restrictions, booth boundaries, weather policies, equipment requirements, venue limitations, and event participation requirements.
SECTION 1: VENDOR ELIGIBILITY, APPLICATIONS & APPROVAL
All vendors participating in Anime Night Mart events are subject to approval by Anime Night Mart LLC.
Vendors must provide accurate and complete information regarding their business, merchandise, products, services, and intended booth activities.
Anime Night Mart LLC reserves the right to approve, decline, or request additional information regarding vendor applications based on legitimate business, safety, operational, and event-curation considerations, consistent with applicable law.
Approval for one Anime Night Mart event does not guarantee approval for future events.
Vendors must notify Anime Night Mart LLC of material changes to their business activities or merchandise after submitting an application.
Submitting an application or purchasing a booth does not automatically constitute final vendor approval where an additional approval process has been disclosed.
If Anime Night Mart LLC declines an application after receiving payment, and the vendor has not materially violated these Terms or submitted false information, the applicable booth payment will be refunded.
SECTION 2: BOOTH RESERVATIONS, AVAILABILITY & PLACEMENT
Vendor booths are generally reserved on a first-come, first-served basis, subject to availability and approval.
Anime Night Mart LLC reserves the right to determine booth placement based on event layout, traffic flow, safety requirements, accessibility, vendor categories, operational needs, and overall attendee experience.
While we make reasonable efforts to provide suitable booth assignments, specific locations, neighboring vendors, customer traffic, and sales opportunities are not guaranteed unless expressly confirmed in writing.
Anime Night Mart LLC may make reasonable adjustments to booth assignments or layouts when necessary due to venue restrictions, safety requirements, accessibility, or operational considerations.
Vendors may not sell, transfer, sublease, share, exchange, or otherwise assign their booth space without prior written authorization.
Purchasing a booth provides temporary permission to occupy an assigned event space during the authorized event period. It does not create a permanent property interest, leasehold estate, or tenancy.
SECTION 3: STRICT BOOTH BOUNDARIES & DESIGNATED AREAS
ALL VENDORS MUST REMAIN COMPLETELY WITHIN THEIR ASSIGNED BOOTH BOUNDARIES AT ALL TIMES.
To maintain an organized, accessible, and safe environment, all merchandise, tables, chairs, racks, shelves, signage, displays, decorations, equipment, inventory, canopy components where permitted, and personal belongings must remain entirely within the booth perimeter designated by Anime Night Mart LLC.
Vendors are strictly prohibited from:
-
Extending displays or merchandise beyond their assigned boundaries.
-
Placing items in neighboring vendor spaces.
-
Occupying unassigned or temporarily empty booth spaces.
-
Blocking aisles, walkways, entrances, or emergency exits.
-
Placing promotional signage outside their assigned booth without prior approval.
-
Expanding their booth area without express written authorization.
-
Conducting sales or merchandise solicitation outside their assigned booth without prior written permission.
-
Allowing canopy legs, roof overhangs, weights, or other structural components to extend beyond assigned boundaries.
These requirements apply during setup, event operation, and teardown.
Vendors must promptly comply with reasonable instructions from event staff to reposition or remove items extending beyond their assigned space.
Minor violations will generally receive an opportunity for correction. Repeated violations, refusal to comply, or serious safety concerns may result in booth closure and removal from the event without a refund, to the extent permitted by applicable law.
SECTION 4: NO AI-GENERATED ARTWORK POLICY
Anime Night Mart proudly supports the creativity, dedication, and originality of human artists and creators.
AI-GENERATED ARTWORK IS STRICTLY PROHIBITED FROM BEING DISPLAYED, PROMOTED, DISTRIBUTED, OR SOLD AT ANIME NIGHT MART EVENTS.
This restriction includes, but is not limited to:
-
AI-generated illustrations or character artwork.
-
AI-generated prints, posters, stickers, or apparel designs.
-
Artwork substantially created using generative artificial intelligence.
-
AI-generated images incorporated into merchandise designs.
-
AI-generated artwork that has subsequently been manually edited, altered, or modified.
Ordinary editing operations, including resizing, color correction, or background removal, are not prohibited merely because software uses automated features, provided that the underlying artwork is not substantially AI-generated.
Anime Night Mart LLC reserves the right to review merchandise when reasonable concerns arise regarding compliance with this policy.
Vendors may be asked to explain or provide reasonable supporting information about the creation of their artwork when necessary to evaluate compliance.
If merchandise is reasonably determined to violate this policy, event staff may require its immediate removal from display and sale.
Failure or refusal to remove prohibited AI-generated artwork may result in immediate booth closure and removal from the event without a refund, to the extent permitted by applicable law.
Serious or repeated violations may also result in denial of future vendor participation.
We appreciate your cooperation in helping us support the artists and creators who make our community special.
SECTION 5: FAMILY-FRIENDLY CONTENT & PROHIBITED MERCHANDISE
Anime Night Mart is a family-friendly event.

Sexually explicit, excessively graphic, or adult-oriented merchandise may not be openly displayed where easily visible to children or the general public.
Any adult-oriented merchandise otherwise permitted by event management must be appropriately concealed, covered, or displayed in a manner approved by Anime Night Mart LLC.
Anime Night Mart LLC reserves the right to request the removal, covering, or repositioning of merchandise or displays that violate these policies.
Failure to comply may result in booth closure or removal from the event without a refund, to the extent permitted by law.
SECTION 6: INTELLECTUAL PROPERTY & AUTHORIZED MERCHANDISE
Vendors are responsible for ensuring that their merchandise and business operations comply with applicable copyright, trademark, licensing, and intellectual property laws.
Vendors must possess any permissions, licenses, or authorizations legally required to produce, display, distribute, or sell their products.
Participation in Anime Night Mart does not grant vendors permission to use copyrighted characters, logos, artwork, trademarks, or other intellectual property owned by third parties.
Anime Night Mart LLC may request the removal of merchandise where credible infringement or counterfeit concerns arise.
Vendors remain responsible for third-party intellectual property claims arising from their merchandise or activities.
Nothing in this Agreement transfers ownership of a vendor's original artwork or intellectual property to Anime Night Mart LLC.
SECTION 7: VENDOR EQUIPMENT, TABLES, CHAIRS & PERSONAL SUPPLIES
All vendors are responsible for providing the equipment and supplies necessary to operate their booths.
ANIME NIGHT MART LLC DOES NOT PROVIDE OR RENT TABLES, CHAIRS, CANOPIES, CANOPY WEIGHTS, ELECTRICITY, BOOTH LIGHTING, OR OTHER VENDOR EQUIPMENT UNLESS A SPECIFIC EXCEPTION IS EXPRESSLY CONFIRMED IN WRITING.

Vendors must comply with venue policies regarding personal food, beverages, equipment, and prohibited items.
SECTION 8: OUTDOOR CANOPIES, TENTS & STRUCTURE REQUIREMENTS
CANOPIES AND POP-UP TENTS ARE PERMITTED AT DESIGNATED OUTDOOR ANIME NIGHT MART VENDOR SPACES, PROVIDED ALL SAFETY REQUIREMENTS ARE FOLLOWED.
Anime Night Mart LLC permits vendors to bring their own personal canopies and temporary tent structures to designated outdoor event locations, provided they comply with applicable venue requirements, fire safety regulations, weather precautions, and assigned booth boundaries.
Anime Night Mart LLC does not provide, supply, or rent canopies, tents, canopy weights, or related equipment. All vendors are responsible for bringing, installing, securing, maintaining, and removing their own structures.

No Equipment Rentals: Anime Night Mart LLC will not provide or rent canopy frames, weights, anchors, fabric covers, or installation equipment.
Wind & Canopy Safety
Vendors acknowledge that wind, sudden gusts, rain, and other weather conditions can create risks involving outdoor canopy structures.
Vendors are responsible for properly securing their canopies and protecting their merchandise, equipment, employees, customers, and personal belongings.
To the fullest extent permitted by applicable law, Anime Night Mart LLC is not responsible for loss, damage, or injury caused by a vendor's improper canopy installation, insufficient weights, unsecured equipment, failure to follow safety requirements, or other negligent acts or omissions.
Anime Night Mart LLC may inspect canopy setups and require vendors to make reasonable safety adjustments.
Event management may require vendors to lower, dismantle, secure, or immediately remove canopies if wind or weather conditions become unsafe, even if the canopy was previously approved.
Failure to comply with safety instructions may result in suspension of booth operations, booth closure, or removal from the event without a refund, to the extent permitted by applicable law.
SECTION 9: NO ELECTRICITY OR POWER PROVIDED
ELECTRICITY AND DEDICATED POWER ACCESS ARE NOT PROVIDED, INCLUDED, OR GUARANTEED WITH VENDOR BOOTH PURCHASES.

All batteries and portable power equipment must comply with applicable venue, safety, and fire regulations.
Fuel-powered generators, unauthorized electrical connections, and hazardous battery systems are prohibited unless separately approved in writing and legally permitted.
Anime Night Mart LLC is not responsible for a vendor's inability to operate lighting, payment terminals, displays, or other equipment due to the lack of electricity or the vendor's own power supply.
Vendors acknowledge that purchasing a booth does not entitle them to an electrical hookup or additional power services.
SECTION 10: NO FOOD OR BEVERAGE SALES INSIDE THE VENUE
FOOD AND BEVERAGE SALES ARE STRICTLY PROHIBITED INSIDE THE EVENT VENUE.
Due to contractual agreements between the venue and its existing food and beverage tenants, Anime Night Mart vendors may not sell, prepare, sample, or distribute food or beverages inside the venue.
This restriction includes:
-
Prepared meals and snacks.
-
Packaged foods, candy, and edible merchandise.
-
Beverages of any kind.
-
Homemade food products.
-
Food sampling or promotional tastings.
-
Cooking, food preparation, or beverage service.

Purchasing a standard vendor booth does not provide authorization to engage in food or beverage operations.
Potential Outdoor Food Truck Opportunities
Food trucks or other approved food service vendors may be considered separately for designated outdoor parking lot areas, subject to venue authorization, availability, local laws, health permits, and written approval from Anime Night Mart LLC.
Food truck participation is not guaranteed and is not included with standard vendor booth purchases.
Unauthorized food and beverage sales may result in immediate removal of prohibited items, suspension of sales, or booth closure.
Personal Food & Water
Vendors should plan for their personal meals, drinking water, and refreshments throughout the event.
Personal food must not be brought into or consumed within venue areas where venue policies prohibit it.
Vendors should plan to eat in outdoor areas or other locations expressly permitted by venue management.

Anime Night Mart LLC does not guarantee complimentary meals, refreshments, or food service for vendors.
SECTION 11: SETUP, CHECK-IN, OPERATING HOURS & TEARDOWN
Vendors must follow all check-in, setup, operating, and teardown instructions provided for their event.
Event-specific schedules and procedures may vary according to venue requirements.
Vendors are responsible for arriving with sufficient time to complete their setup before the scheduled opening.
Booths should remain appropriately staffed during designated event hours, except for reasonable breaks or emergencies.
Vendors may not begin early teardown without prior authorization where doing so would create safety or operational concerns.
All merchandise, equipment, canopies, and personal belongings must be removed by the designated move-out deadline.
Vendors must leave their assigned area reasonably clean and free of trash.
Additional costs directly resulting from a vendor's unauthorized late departure, property damage, or failure to remove belongings may be charged to the vendor when reasonable, documented, and permitted by applicable law.
SECTION 12: BOOTH SAFETY, FIRE REGULATIONS & VENUE POLICIES
All vendors must comply with applicable building codes, fire safety requirements, accessibility rules, public health regulations, and venue instructions.

SECTION 13: BUSINESS LICENSES, SELLERS' PERMITS & TAX RESPONSIBILITIES
Vendors are responsible for obtaining all licenses, permits, registrations, and approvals legally required for their business activities.
Requirements may vary by state, county, city, event venue, and merchandise category.

Where required, vendors must report taxable sales and submit returns or collected sales taxes through the process established by the Nevada Department of Taxation.
General Requirements
Anime Night Mart LLC will fulfill organizer-level reporting and tax responsibilities imposed by applicable law.
Vendors remain responsible for their own legally required business licenses, permits, customer transactions, and tax obligations.
Failure to supply legally required documentation may result in suspension of selling activities or denial of participation until the issue is resolved.
SECTION 14: VENDOR PROPERTY, THEFT, LOSS & DAMAGE
All vendors are responsible for securing and protecting their merchandise, inventory, cash, equipment, displays, canopies, and personal belongings.
Anime Night Mart LLC does not provide individual booth security or insurance coverage for vendor property.
To the fullest extent permitted by applicable law, Anime Night Mart LLC shall not be responsible for vendor property that is stolen, lost, missing, misplaced, or damaged due to third-party conduct, ordinary weather conditions, or events not caused by legally actionable misconduct of Anime Night Mart LLC.
Vendors are encouraged to maintain appropriate property or business insurance and take reasonable precautions to protect their belongings.
Any general event security provided is intended to support overall event safety and does not guarantee protection against theft, loss, or property damage.
SECTION 15: RAIN, WIND, WEATHER CONDITIONS & OUTDOOR EXPOSURE
ANIME NIGHT MART EVENTS ARE INTENDED TO PROCEED RAIN OR SHINE, INCLUDING DURING ORDINARY WINDY OR UNFAVORABLE WEATHER CONDITIONS.

-
Heat or high temperatures.
-
Cold temperatures.

-
Changes in humidity.
-
Other ordinary or reasonably anticipated outdoor environmental conditions.
Vendor Responsibility for Weather Protection
All vendors are responsible for properly securing, protecting, and monitoring their own merchandise, displays, signage, equipment, canopies, and personal belongings.
Vendors should take reasonable precautions against wind, including appropriately securing lightweight merchandise, racks, signs, displays, and other items that may become unstable.
Outdoor vendors using canopies must ensure all structures are properly weighted, secured, and compliant with Section 8.
Anime Night Mart LLC does not provide weatherproof coverings, canopies, canopy weights, anchors, protective enclosures, or other weather protection equipment.
Wind-Related Damage & Property Loss
To the fullest extent permitted by applicable law, Anime Night Mart LLC is not responsible for loss or damage to vendor merchandise, inventory, equipment, signage, canopies, or personal property caused by ordinary wind, gusts, rain, dust, or other weather conditions beyond its reasonable control.
Vendors acknowledge that weather exposure is an ordinary risk of participating in events that include outdoor areas.
Vendors are encouraged to obtain suitable property insurance and prepare their booth displays accordingly.
Severe Weather & Safety Decisions
If conditions become dangerous, including high winds, severe storms, or other unsafe circumstances, Anime Night Mart LLC may require vendors to secure or remove equipment, lower or dismantle canopies, temporarily suspend activities, relocate where feasible, or comply with emergency instructions.
Event management may delay, modify, suspend, reschedule, or cancel the event where reasonably necessary for safety or legal compliance.
Ordinary unfavorable weather, weather-related inconvenience, reduced attendance, or weather-related sales losses do not automatically qualify vendors for refunds.
Refund obligations arising from an organizer cancellation or material event change remain subject to applicable law and this Agreement.
Nothing in this section eliminates liability that cannot legally be waived.
SECTION 16: VENUE CONDITIONS, AIR CONDITIONING, LIGHTING & FACILITY ISSUES
Anime Night Mart LLC makes reasonable efforts to coordinate with venues and service providers to create a positive experience.

Temporary facility disruptions, discomfort, or inconvenience may occur despite reasonable preparation.
When such circumstances arise, Anime Night Mart LLC will make reasonable, good-faith efforts to communicate with venue management and seek practical solutions where possible.
Unless expressly promised in writing, Anime Night Mart LLC does not guarantee uninterrupted operation of third-party facility systems or specific environmental conditions.
Ordinary or temporary venue-related inconveniences do not automatically entitle vendors to refunds, credits, reimbursements, or compensation.
Vendors specifically acknowledge that dedicated booth electricity, powered lighting, and charging services are not included in their booth purchase.
To the fullest extent permitted by law, Anime Night Mart LLC shall not be responsible for indirect or consequential business losses resulting from facility disruptions beyond its reasonable control.
This provision does not waive rights or remedies that cannot legally be excluded.
SECTION 17: VENDOR BOOTH CANCELLATIONS, PAYMENTS & REFUNDS
PLEASE REVIEW THIS SECTION CAREFULLY BEFORE PURCHASING A VENDOR BOOTH.
Vendor booth reservations involve event planning, limited space availability, floor layouts, staffing, administrative preparation, and financial commitments.
For these reasons, the following cancellation policy applies.
FULL REFUND: CANCELLATION AT LEAST FIVE WEEKS BEFORE THE EVENT

Cancellation requests must be submitted by email to animenightmart@gmail.com.
The cancellation request must identify the vendor, applicable event, and booth reservation or order number.
The deadline is calculated using the originally scheduled event start date, unless Anime Night Mart LLC provides a revised policy for a rescheduled event consistent with applicable law.
NO REFUNDS: CANCELLATION LESS THAN FIVE WEEKS BEFORE THE EVENT
Vendor cancellation requests received less than 35 calendar days before the event start date are non-refundable, except where required by applicable law or otherwise expressly agreed upon in writing by Anime Night Mart LLC.

Failure to attend an event does not automatically entitle the vendor to a refund, credit, or transfer.
EVENT CANCELLATION OR MATERIAL CHANGES BY ANIME NIGHT MART LLC
If Anime Night Mart LLC cancels an event and does not provide the purchased booth opportunity, vendors will be informed of the applicable refund process or other mutually acceptable arrangements.
If an event is rescheduled or materially relocated, Anime Night Mart LLC will communicate the revised arrangements and available options consistent with applicable law and the purchase agreement.
Any statutory refund obligations will be honored.
POLICY VIOLATIONS
Vendors removed for material violations of these Terms may forfeit their booth fees to the extent permitted by applicable law.
Nothing in this Agreement eliminates mandatory refund rights or other remedies that cannot legally be waived.
SECTION 18: EVENT MODIFICATIONS & OPERATIONAL CHANGES
Anime Night Mart LLC may make reasonable changes to event layouts, booth assignments, operating schedules, check-in procedures, and other event arrangements.
Such changes may be necessary due to venue requirements, safety concerns, accessibility, weather, or other legitimate operational needs.
We will make reasonable efforts to communicate material changes to affected vendors.
Minor operational adjustments do not automatically qualify vendors for refunds.
Changes that materially affect the contracted booth opportunity remain subject to applicable law and the relevant purchase agreement.
SECTION 19: ATTENDANCE, SALES & BUSINESS EXPECTATIONS
Anime Night Mart LLC does not guarantee attendance levels, customer traffic, vendor sales, revenue, profitability, or any particular business outcome.
Vendors acknowledge that participation in an event involves ordinary commercial uncertainty.
Sales results may vary depending on customer preferences, merchandise, pricing, location, attendance, marketing, and other factors.
Anime Night Mart LLC does not promise that vendors will recover their booth expenses or earn any particular amount of revenue.
SECTION 20: VENDOR CONDUCT & PROFESSIONAL RESPONSIBILITIES

Minor violations will generally receive an opportunity for correction.
Serious violations, repeated misconduct, or immediate safety concerns may result in removal without prior warning.
SECTION 21: POLICY VIOLATIONS, BOOTH CLOSURE & REMOVAL
Anime Night Mart LLC reserves the right to enforce these Terms through reasonable and proportionate measures.
Depending on the nature and severity of a violation, corrective action may include:
-
A verbal or written warning.
-
Required adjustment or removal of merchandise or displays.
-
Temporary suspension of booth activities.
-
Closure of the vendor's booth.
-
Removal from the event.
-

Ordinary wear and tear is excluded.
SECTION 23: BILLING ACCURACY, PAYMENTS & ORDER INFORMATION
Vendors agree to provide current, complete, and accurate purchase, billing, and contact information when reserving a booth.
Vendors must promptly update relevant contact information so Anime Night Mart LLC can communicate important event instructions or changes.
Anime Night Mart LLC reserves the right to review, limit, refuse, or cancel orders involving suspected fraud, unauthorized payment activity, inaccurate information, duplicate reservations, or material violations of these Terms.
We may contact the purchaser using the email address or phone number provided when the order was placed.
If Anime Night Mart LLC cancels a paid booth order without a material violation by the vendor, the applicable payment will be refunded unless another lawful arrangement is agreed upon.
SECTION 24: PRICING, AVAILABILITY & ORDER CORRECTIONS
Vendor booth prices and availability may change before purchase.
We make reasonable efforts to maintain accurate booth listings, descriptions, dimensions, prices, and availability information.
However, typographical errors, technical errors, or inaccuracies may occasionally occur.
Anime Night Mart LLC reserves the right to correct errors in event listings, pricing, availability, or other information.
If a material pricing or availability error affects an existing purchase, we will communicate with the affected vendor and address the issue in accordance with applicable law.
Any cancellation initiated by Anime Night Mart LLC because the purchased booth cannot be provided will be accompanied by the refund or other remedy legally required.
SECTION 25: WEBSITE USE, SECURITY & PROHIBITED ACTIVITIES

Our website and event operations may use third-party services, including Shopify, payment processors, venue operators, ticketing systems, and other authorized providers.
Third-party websites or services may be governed by their own terms and privacy policies.
Anime Night Mart LLC does not control all aspects of independent third-party platforms and cannot guarantee uninterrupted third-party service availability.
Optional third-party tools may be offered on an "as is" and "as available" basis to the extent permitted by law.
Vendors are encouraged to review applicable third-party terms before using those services.
Nothing in this provision eliminates Anime Night Mart LLC's own legal or contractual obligations.
SECTION 27: WEBSITE INFORMATION & SERVICE AVAILABILITY
Anime Night Mart LLC makes reasonable efforts to maintain accurate information regarding events, booth reservations, schedules, and available services.
However, information may occasionally require correction or updating.
Historical information, previous event layouts, or promotional materials may not reflect current arrangements.
Website access or certain online features may occasionally be interrupted for maintenance, technical issues, or circumstances beyond our reasonable control.
Anime Night Mart LLC does not guarantee that the website will always be uninterrupted or error-free.
Website interruptions do not automatically modify existing booth reservations or eliminate the parties' contractual obligations.
SECTION 28: USER COMMENTS, FEEDBACK & SUBMISSIONS
Vendors may voluntarily submit feedback, comments, photographs, suggestions, reviews, or other materials through our website or communications channels.
Vendors are responsible for ensuring that submitted materials do not infringe third-party rights or violate applicable laws.
Submissions may not contain threats, harassment, unlawful content, malicious software, or misleading information.
Anime Night Mart LLC may remove inappropriate content from platforms it controls.
By voluntarily submitting material for publication, vendors grant Anime Night Mart LLC a non-exclusive, royalty-free license to use, reproduce, display, and distribute that submitted material for the purposes reasonably associated with the submission, subject to applicable law.
This provision does not transfer ownership of vendor artwork, designs, or other original intellectual property.
Private business communications and legally protected personal information are not made public merely because they were submitted to Anime Night Mart LLC.

Vendor booths may appear incidentally in photographs or recordings of the event.
Anime Night Mart LLC may use lawfully obtained event media for promotional purposes, subject to applicable privacy, publicity, intellectual property, and consent requirements.
Vendors retain ownership of their original artwork, designs, and merchandise.
Participation does not automatically transfer ownership of creative work to Anime Night Mart LLC.
SECTION 30: PERSONAL INFORMATION & PRIVACY
Personal information collected through vendor registration, booth purchases, and other authorized business activities is governed by Anime Night Mart LLC's applicable Privacy Policy.
Information may be processed by authorized service providers for payment processing, registration, event administration, customer support, tax compliance, and other disclosed business purposes.
We will handle personal information according to applicable privacy laws and published policies.
Vendors should review the Privacy Policy available through the Anime Night Mart website.
SECTION 31: ASSUMPTION OF ORDINARY EVENT RISKS
Vendors acknowledge that participation in a public event involves certain ordinary and foreseeable risks.
These may include crowd movement, equipment handling, weather exposure, wind-related damage, canopy-related risks, theft, third-party activities, and accidental property damage.
Vendors are responsible for exercising reasonable care in operating their businesses and protecting their property.
To the fullest extent permitted by law, vendors voluntarily assume the ordinary risks inherent in their own activities and participation.
Nothing in this section excludes liability for conduct or damages that cannot legally be released or waived.
SECTION 32: DISCLAIMER OF WARRANTIES
To the fullest extent permitted by applicable law, the website and its general informational features are provided on an "as is" and "as available" basis.
Anime Night Mart LLC does not guarantee uninterrupted website operations or error-free online services.
We do not guarantee particular event attendance, vendor sales, profitability, customer traffic, weather conditions, availability of dedicated booth electricity, or uninterrupted third-party venue systems.
Express promises specifically included in an accepted booth purchase agreement remain subject to that agreement and applicable law.
Nothing in this disclaimer excludes warranties, contractual commitments, or rights that cannot lawfully be disclaimed.
SECTION 33: LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Anime Night Mart LLC and its owners, members, managers, employees, agents, and authorized representatives shall not be liable for indirect, incidental, special, or consequential business losses arising from ordinary event participation, website interruptions, adverse weather, or operational disruptions beyond their reasonable control.
Such losses may include anticipated profits, lost sales, lost revenue, missed business opportunities, weather-related business interruptions, or similar economic losses.
Nothing in this provision excludes liability for fraud, willful misconduct, mandatory contractual obligations, or other conduct for which liability cannot legally be limited.
This provision does not remove non-waivable rights or remedies available under applicable law.
SECTION 34: INDEMNIFICATION & HOLD HARMLESS
To the fullest extent permitted by applicable law, vendors agree to indemnify, defend, and hold harmless Anime Night Mart LLC, its owners, members, managers, employees, authorized representatives, and agents against third-party claims, damages, liabilities, losses, expenses, and reasonable attorney's fees arising from:
-
The vendor's negligent, reckless, wrongful, or unlawful conduct.
-
The conduct of vendor employees, assistants, or representatives.
-
Merchandise produced, sold, or distributed by the vendor.
-
Violations of applicable laws or third-party intellectual property rights.
-
Personal injury or property damage caused by the vendor's operations.
-
Improperly installed, unsecured, or noncompliant canopy structures.
-
Material breaches of these Vendor Terms of Service.
This obligation does not apply to the extent a claim arises from the negligence, willful misconduct, or other conduct of Anime Night Mart LLC for which liability cannot lawfully be transferred.
SECTION 35: INSURANCE REQUIREMENTS
Vendors are encouraged to maintain appropriate general liability insurance and property coverage for their business operations.
Vendors using outdoor canopies or operating with weather-sensitive inventory or equipment are particularly encouraged to maintain coverage appropriate to those risks.
Anime Night Mart LLC may require proof of insurance for certain activities involving increased risk, specialized equipment, or other operations where additional coverage is reasonably necessary.
Any mandatory insurance requirements or specific coverage limits will be disclosed to affected vendors before booth purchase or before approval of the relevant activity.
SECTION 36: FORCE MAJEURE & UNFORESEEN CIRCUMSTANCES
Extraordinary circumstances beyond Anime Night Mart LLC's reasonable control may affect event operations.
These may include:
-
Natural disasters.
-
Severe storms or high-wind emergencies.
-
Government orders or restrictions.
-
Public emergencies.
-
Major infrastructure failures.
-
Civil disturbances.
-
Labor disruptions.
-
Other comparable circumstances beyond reasonable control.
Anime Night Mart LLC may make reasonable operational modifications when such circumstances prevent or materially interfere with an event.
Where practical, we will make good-faith efforts to communicate significant disruptions and consider reasonable alternatives.
Any cancellation, postponement, or material change remains subject to the applicable purchase agreement and governing law, including mandatory refund obligations.
SECTION 37: PAYMENT DISPUTES & GOOD-FAITH COMMUNICATION
Vendors are encouraged to contact Anime Night Mart LLC promptly regarding billing concerns, reservation issues, or disputes.
We will make reasonable efforts to review concerns and provide available information.
Vendors agree to provide truthful and accurate information when submitting cancellation, refund, or payment dispute requests.
Nothing in this Agreement prohibits vendors from exercising lawful chargeback rights, disputing unauthorized payments, filing legally permitted complaints, or seeking available legal remedies.
Knowingly fraudulent payment claims may be addressed through lawful procedures.
SECTION 38: INDEPENDENT BUSINESS RELATIONSHIP
Vendors participate in Anime Night Mart as independent businesses or individuals.
Nothing in this Agreement creates an employment relationship, partnership, joint venture, franchise, or agency relationship between a vendor and Anime Night Mart LLC.
Vendors remain responsible for their own staff, business expenses, taxes, permits, equipment, inventory, and operations.
SECTION 39: TERMINATION OF VENDOR PARTICIPATION
Anime Night Mart LLC may suspend or terminate vendor participation for material violations of these Terms or other legally permissible reasons.
Where reasonably practical, vendors will be given an opportunity to correct minor violations.
Immediate termination may be appropriate for serious safety concerns, prohibited conduct, unlawful activities, unsafe canopy structures, or repeated refusal to follow event instructions.
Termination does not automatically eliminate payment obligations or other responsibilities that accrued before termination.
Indemnification obligations, lawful claims, intellectual property rights, and other provisions intended to survive termination remain effective to the extent permitted by law.
Any refunds or remedies following termination remain subject to the applicable purchase agreement and governing law.
SECTION 40: ELECTRONIC ACCEPTANCE & BINDING AGREEMENT
PLEASE READ CAREFULLY BEFORE PURCHASING A VENDOR BOOTH.

The vendor acknowledges that dedicated booth electricity, electrical hookups, and powered booth lighting will not be provided.

Electronic acceptance records may be retained with the associated transaction information in accordance with applicable recordkeeping and privacy requirements.
SECTION 41: GOVERNING LAW & DISPUTE VENUE
This Agreement shall be interpreted under the laws applicable to the relevant event and contractual relationship.
For events held in California, applicable California laws and mandatory legal requirements shall govern matters that must be determined under California law.
For events held in Nevada, applicable Nevada laws and mandatory legal requirements shall govern matters that must be determined under Nevada law.
To the extent legally permissible, disputes arising from an event may be brought before courts of competent jurisdiction in the county and state where the event occurred.
Nothing in this section removes statutory rights, mandatory legal protections, or remedies that cannot legally be waived.
SECTION 42: SEVERABILITY
If any provision of this Agreement is found to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, that provision shall be severed or limited to the extent legally permitted.
The remaining provisions shall continue in effect.
SECTION 43: ENTIRE AGREEMENT & WAIVER
These Vendor Booth Terms of Service, together with the applicable booth listing, specific event instructions, and any additional policies properly incorporated before purchase, form the agreement governing the relevant booth reservation.
This Agreement supersedes prior discussions or representations concerning the same purchase to the extent legally permitted, except for express written commitments incorporated into the purchase agreement.
Failure or delay by Anime Night Mart LLC in enforcing a particular provision on one occasion does not constitute a permanent waiver of that provision.
Section headings are provided for convenience and do not modify the meaning of the Agreement.
SECTION 44: CHANGES TO TERMS & POLICIES
Anime Night Mart LLC may update these Terms for future events or future booth purchases.
Revised terms will be posted through the applicable website or registration platform.
The version applicable to a completed booth purchase will ordinarily be the version disclosed and accepted at the time of purchase, unless a legally valid modification is subsequently agreed upon.
Posting revised terms does not automatically impose new contractual obligations on previously completed booth purchases.
Reasonable event-specific safety or operational instructions may be issued when necessary, consistent with applicable law and the accepted Agreement.
